process and the course of the negotiations of the Investment with
prospective investors in order to maximize the opportunity for a
successful placement of the Investment;

identification, due diligence, negotiation, and closing on any
acquisition.

The M&AMG’s investment
strategy will be to make high potential investments in companies in
core media sectors and supporting services. We will make these
investments in companies with solid cash flow in stable markets.
The company will also seek to
purchase media portfolio companies from underperforming funds in
expectation of providing those companies with the additional
operational and strategic support to make them successful.
In general, M&AMG’s investors
intend to invest in companies that (a) are building business platforms
with long-term franchise value, (b) have proven management teams, and (
c) are pursuing unique – and oftentimes proprietary –
technology-supported business models. M&AMG will rely on proven
investment criteria and practices and enhanced by the market knowledge
and domain expertise of the extended network of M&AMG.
Phased
Process
M&A Media Group proposes a
three phase process to accomplish these goals:
Phase I –
Market Evaluation and Action Plan:
The objective of Phase 1 is to
provide you with an actionable roadmap that can serve as the foundation
of a comprehensive business plan and or information memorandum. The
Phase 1 work can also be used to begin planning the launch of a service
in 2008.
While the specific objectives and
deliverables will be determined in partnership with Food and Beverage
International, the work will concentrate on the strategic side of
business plan development, with specific focus on:
- Clear, focused and practical
strategic objectives
- Identification of the most
important competitive forces affecting critical market segments
- Implementation of rigorous
strategy-building methodologies within the company
- Distilled insights about the
preferences and perspectives of customers, partners and employees
- Enhanced capability to identify
important strategic patterns in customer data

pressing current and future competitive threats
- Profiles of the most attractive
market segments
- Clear linkages between customer
value and internal activities
- Assessments of the strengths and
weaknesses of important competitors in key markets
- Practical implementation plans

ability to diffuse it to colleagues
The term of Phase I will be driven by
the agreed scope of work and is determined by the readiness of clients
to raise capital and/or begin operations. The average term is
approximately 2 months.
Phases 2 and
3
M&A Media Groups initial
proposal is to complete the Phase I work as a forum to strengthen the
relationship between M&AMG and our client.
